1. Acceptance of Terms

By downloading, installing, or using Market Decode (the “App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

2. Description of Service

Market Decode is an AI-powered market intelligence application that provides financial news analysis, sentiment tracking, and AI-generated recommendations across publicly traded securities. The App delivers this analysis through multiple daily editions.

3. Financial Disclaimer

MARKET DECODE IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, OR FINANCIAL PLANNER.

The information provided through the App is for informational and educational purposes only and should not be construed as personalized financial advice, investment recommendations, or an offer to buy or sell securities.

• The App does not execute trades or manage real money
• The App does not have access to your brokerage accounts
• AI-generated “Buy,” “Hold,” and “Sell” recommendations are algorithmic opinions based on news analysis, not professional financial advice
• Past performance, analysis, or AI recommendations do not guarantee future results
• All investments involve risk, including the possible loss of principal

4. AI-Generated Content

Market Decode uses artificial intelligence to analyze financial news and generate content. You acknowledge and agree that:

• AI-generated analysis may contain errors, inaccuracies, or incomplete information
• AI models may produce different results from the same inputs at different times
• Confidence levels and sentiment scores are algorithmic assessments, not guarantees of accuracy
• The AI does not have access to material non-public information (insider information)
• You should independently verify any information before making financial decisions

5. Eligibility

You must be at least 17 years old to use Market Decode. By using the App, you represent that you meet this age requirement. The App is rated 17+ on the App Store.

6. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose, including securities fraud or market manipulation
• Reverse-engineer, decompile, or disassemble the App or its underlying systems
• Scrape, harvest, or systematically extract data from the App
• Redistribute, resell, or commercially exploit App content without written permission
• Attempt to circumvent any security measures or rate limits
• Use the App to develop competing products or services

7. Intellectual Property

All content, analysis, recommendations, software, design, and methodology within Market Decode is proprietary and owned by MarketDecode AI. This includes but is not limited to:

• AI-generated analysis and recommendations
• Edition content and formatting
• User interface design and user experience
• Data processing methodologies and algorithms
• The Market Decode name, logo, and branding

You may not copy, reproduce, distribute, or create derivative works from any Market Decode content without our express written consent.

8. Third-Party Content

The App may display content from third-party sources, including:

• Interactive financial charts provided by third-party charting services
• Financial data from third-party data providers
• Links to external news sources referenced in analysis

Third-party content is governed by its respective providers' terms and conditions. We are not responsible for the accuracy or availability of third-party content.

9. Service Availability

We strive to maintain consistent service availability, but we do not guarantee uninterrupted access. The App may be temporarily unavailable due to:

• Scheduled maintenance (we'll try to notify users in advance)
• System updates and improvements
• Technical issues beyond our control
• Market holidays and data provider outages

We are not liable for any losses or damages resulting from service interruptions.

10. User Accounts

Account creation is optional. If you choose to sign in (via Sign in with Apple or Sign in with Google), you are responsible for maintaining the security of your authentication credentials. We are not responsible for unauthorized access resulting from your failure to protect your account.

11. Pricing and Subscriptions

Market Decode is currently offered free of charge. We reserve the right to introduce paid features or subscription tiers in the future. If we do:

• Existing free features may remain free (we'll communicate any changes clearly)
• Paid subscriptions will be processed through the Apple App Store
• Subscription terms will be presented before purchase
• Apple's standard refund policies will apply

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARKETDECODE AI SHALL NOT BE LIABLE FOR:

• Any investment losses based on AI-generated recommendations
• Inaccuracies in financial data or analysis
• Service interruptions or data unavailability
• Actions taken or not taken based on App content
• Any indirect, incidental, special, consequential, or punitive damages

Our total liability for any claim arising from your use of the App shall not exceed the amount you paid us in the 12 months preceding the claim (which may be $0 if you're on the free plan).

13. Indemnification

You agree to indemnify and hold harmless MarketDecode AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the App or violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

15. Dispute Resolution

Any dispute arising from these Terms or your use of the App shall be resolved through binding arbitration administered by a recognized arbitration organization, rather than in court. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or Website. Continued use after changes constitutes acceptance of the modified Terms.

17. Apple-Specific Terms

If you download the App from the Apple App Store, the following additional terms apply:

• These Terms are between you and MarketDecode AI only, not Apple. Apple has no obligation to provide maintenance, support, or warranty for the App.
• Apple is not responsible for any claims related to the App, including product liability, consumer protection, or intellectual property claims.
• In the event of any failure of the App to conform to applicable warranties, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MarketDecode AI regarding your use of the App and supersede any prior agreements.
